Sunny, without a pragmatic view I would have had a massive stroke by now. The plight of our beloved club is quite sickening and its hard to stomach that we fell so far off our perch. We have been shaken to our very foundations by G&H who seem intent on destroying us. Our current on-field shambles almost mirrors the off-field drama. It feels like we're down and still getting kicked in the teeth.

Broughton and the Board have delivered us a significant legal victory which will lead to bigger and better things. However, we have to fight tooth and nail to secure this future.

Mills Financial may be manouvering behind the scenes and may well have bought Hicks' shares in the group/parent company (Kop Football LLP - a US (Delaware) company) which could be a determining factor in the issuance of the TRO in terms of jurisdiction. However, I do believe that the Board have been thorough in their undertakings and covered all angles. Broughton's confidence is keeping me calm. He is business savvy. Henry and NESV seem intent on riding out the storm until resolution and he believes that they have a legally binding agreement with the Board on the sale. Hicks is posturing for a better price. I hope he walks away empty handed.

Ownership Structure:
Liverpool (LAFC), which owes RBS £97m < Kop Holdings Ltd which owes RBS £200m < Kop Football Holdings Ltd, which owns the assets of all of the above < Kop Football Cayman Ltd, presumably registered in the Cayman Islands < Kop Football LLP, a US (Delaware) company owned by Hicks and Gillett.

So, the sale to NESV was agreed and blocked. This action was deemed illegal therefore the original agreement with NESV surely overrules anything that's been attempted since?

I hope this is the case. but the injunction in america stopped the sale and gave hicks freedom to sell his shares to mill and in turn pay off the rbs debt. the real question is which court has jurisdiction, UK or USA?

Liverpool co-owner Tom Hicks remains in control of his share of the club and has not sold out to Mill Financial, Press Association Sport has been told.

Reports this morning suggested the hedge fund, a branch of Washington-based Springfield Financial, had acquired the Texan’s 50% share having already taken ownership of his fellow co-owner George Gillett’s half.

However, a UK-based spokesman for Tom Hicks told Press Association Sport Mill Financial had not acquired Hicks’ shares.

Only if the court views this as a criminal contempt of court and issues committal proceedings upon the application of an affected part.

I don't think this is going to hppen.

My view is that the High Court is going to issue declaratory reliefs preventing the recognition of any American order in Britain in relation to matters in which the UK court has already adjudicated on.....Justice Floyd will state that as an affceted party, Hicks should have made an application to the Court of Appeal in the UK to seek leave to appeal.

It will consider his actions in Texas as trying to short-circuit UK jurisdiction.

Concurrently, our lawyers will aslo have to get the order in Texas struck out on the grounds that the US is NOT seised of jurisdiction, Hicks having filed a counter-claim (which is considered a separate claim in its own merit) in the UK.

If Judge Jim Jordan has a brain, he will state that the order was given without full and frank disclosure on the part of Hicks and will further state that Hicks attempts to get relief in Texas on a matter which had been adjudicated upon in England just 10 hours earlier amounted to a frivolous suit and was an abuse of court process.

The problem as I see it will be the role of Mills Financial; was the sale to NESV finalised?

In which case, Hicks sold something he no longer owned and Mills Financial would have a legal action for damages against Hicks.

If it wasnt, then I think parties would have to go back to the courts, in England to get a declaration.

The concurrent payment to RBS is the ancillary issue to be decided after the issue of Mills v NESV.
