I think he has a pretty strong case once you remove the urgency, the time factor.

If he says he didn't think that the value was met and that he was always going to pay off the debt somehow, a judge could look quite sympathetically at that.

The thing is, RBS should indemnify NESV and thus the club, as they are the ones that didn't take the dosh from Hicks today.

And, I would expect a counter-suit by the club not only against the Hicks/Gillete holding companies, but the two as individuals, claiming damage from their attempts to hold up a legal sale and damages from their frivolous lawsuit that hangs over and devalues the club for the new shareholders.

Thing with the indemnity is it depends on how they are purchasing from RBS -

most probably RBS will not offer any warranties as this is a toxic debt just short of a fire sale - in the past when ive dealt with RBS or HBOS for purchasing properties under administration or buying the debt they havent been forthcoming with any warranties at all - irrespective of the value of the deal.

You can't remove the time factor. The debt fell due today, and that's after Hicks has defaulted on it already in the past. As for value not being met, Broughton's (winning) argument in the UK case was that the club's value is what bidders were prepared to pay. Hicks is going to have to prove that the sale process undertaken by the board was at best insufficient and at worst fraudulent. I can't see him managing it.
