Steve Stodghill, a lawyer for Hicks and Gillett, said the Texas court had jurisdiction to halt the sale because of all the defendants' business connections to North Texas.

Among the factors that give the Texas court a say: The Royal Bank of Scotland solicits business and has a registered agent here; Broughton had meetings in Dallas with Hicks; and the Red Sox play the Texas Rangers each year in Arlington, Stodghill said.

"It is totally fair for us to pull RBS and the defendants into a Texas court," he said, adding that Hicks picked state court over federal court mostly for speed.

There is no way that Hicks can legally sell his shares.

1. First his shares are the security for the RBS loan, so that must be paid first. And, it appears that in the agreement for NESV to purchase the club that RBS has agreed to waive some the penalties that were written into the most recent refinancing. They would likely not waive those fees for Hicks in this action, so Mills or someone would have to pay a premium just to remove the debt and prevent Administration.

2. Each company has a Shareholders agreement which governs when and to whom and with whose permission a shareholder can sell their shares. For example, we knew that Hicks and Gilette originally had first right of refusal on each other's shares. This would be stipulated in the shareholder agreement. It is a certainty that during the refinancing that RBS provided Broughton the authority to determine who can purchase Hicks and Gillette's shares. Because of this, I believe that Gillette likely still "owns" his shares, but that any benefits that accrue from that ownership would be directed his creditors (Mills).

Therefore, Hicks cannot just sell his shares. His only argument is that the board have violated their fiduciary responsibilities and should be replaced. That argument already failed in the UK and I am confident that the US courts will recognize a lack of jurisdiction, although I would not trust a Texas court. May take time on appeal.

Instead, it is effectively an order compelling H&G to apply to the Texan Court to lift the injunction, on the basis that the Texan Court has no jurisdiction to determine this case. H&G therefore face a choice: either they lift the injunction or be in contempt of the English Court anti-suit injunction, the punishment for which can include imprisonment. H&G would most likely not want to return to the UK with contempt proceedings hanging over their heads.

Avvy, I've got to say I came across a number of occasions in my career on which individuals in this country (whether lawyers or not) sought to put similar non-reasons forward for issuing proceedings in one court as opposed to another.
