that's can't possibly be correct, if you breach a contract then surely everything from then onwards is null and void?
no way can hick's illegally change the board, the (illegal) board vote in the higher bidder for the club and then hick's only punishment for breach of contract is a fine (or whatever the penalty is for breach of contract).

No, it doesn't. Hicks has offered no defence to the allegation of breach of contract. The outcome depends on whether the court accepts H and G's argument (if this IS their argument) that even an admitted breach doesn't remove their rights as owners. Against that RBS are arguing that H and G shouldn't be allowed to profit from their own misdeed, and that's a very long-established legal principle which the court will be highly reluctant to set aside in this or any other case.

This case is not about, he says, the owners trying to maintain their ownership of the club. They accept reality that their ownership will shortly come to an end. It's also not about owners trying to put spanner in the works regarding a sale. The owners accept that some sort of sale will have to occur. They are not intent on stopping sale to NESV. The owners' issue is that the board did not properly enter into the NESV agreement in that the directors did not properly consider alternative offers and so it is they who are in breach of the terms of the sale agreement with RBS."

None of that matters if the sale to NESV was validly concluded. H and G are just trying to muddy the waters.

They really are struggling now. Broughton made it very clear that both bids were attractive, and that wouldn't have been apparent unless both bids had been properly scrutinised. He's also said all along that the winning bid wouldn't necessarily be the highest one, and he's taken care to explain why.
